  1. MODLANGS.CO.UK is an online educational service ("the service"), delivered via the World Wide Web, by Melchior Obbligato Ltd ("us, we") and its sub-contractors. The service does not include any Internet access provision, software, or equipment:- all subscribers should make their own arrangements to connect to the Internet and use the Web.
  2. We can accept orders with official order numbers for invoicing, or when accompanied by a cheque. All quoted prices exclude VAT. If an order is placed without using our order form, care should be taken to ensure that all essential information is included. Payment should be made within 30 days of invoicing, by cheque or BACS, to "Melchior Obbligato Limited".
  3. Subscriptions for the service are licensed for use on the premises stated when ordering. A subscription entitles the purchaser to make unlimited use of the service:-
    1. In the case of an individual subscriber, at their home address.
    2. In the case of a school, other single LEA establishment, FE college or university, at that establishment's premises, and in addition, at the homes of teaching staff, when used for preparing lessons at the subscribing establishment. Use by students when away from the establishment's premises is specifically excluded.
    3. In the case of a school purchasing a combined 'school + home use' subscription, at the establishment's premises, and in addition, at the homes of students and teaching staff, for private study / homework / lesson preparation in connection with courses offered by the establishment.
    4. In the case of a bulk LEA subscription, by any establishment within the LEA included in the subscription, and at the home of any member of the teaching staff at those establishments, when used for preparing lessons at their place of employment.
  4. Subscribers may access the service directly from the modlangs web site, or they may copy materials from the web site and place them on their own internal computer/network/Intranet, provided the following conditions are observed:-
    1. Material is only used at subscribing sites, or by staff at home as outlined above.
    2. The structure or navigation of the web site is not altered or developed in any way.
    3. The pages supplied are not indexed/keyworded for searching. (In cases where this is difficult to manage / organise, it is acceptable to remove all material more than one term old which is not archived in our 'cat baskets': all material this old will be 'unlinked' from the modlangs navigation structure.)
    4. If the named contact person has reason to believe that their ID and password is being abused / used outside the terms and conditions of this agreement, they should contact us and request a new ID and password.
  5. The named contact person on the order is assumed to be responsible for the use made of the supplied ID and password.
  6. Neither the service, nor material from it, may be re-sold.
  1. The service currently comprises 9 weekly updates (FELINE weeklies) and 12 FELINX updates per week for 36 weeks of the year, along with periodic updates to the Pointers, Festivals, Purrfect and 'cat basket' sections. Delivery weeks are chosen by us to coincide with times when we understand most schools will be teaching. The materials are available via the modlangs web site.
  2. We will do everything in our power to meet our delivery schedule. In the event of server failure, we will do what we can to make alternative arrangements for access as quickly as we are able. We can't give any absolute guarantee to provide the service, although you are assured of our best endeavours. We do our best to ensure the accuracy of the materials provided and the integrity of the web site, but we cannot be held liable for problems caused by any errors. Also, we can accept no liability for any problems which may arise as a result of any failure to provide the service.
  3. Force majeure: We cannot accept liability for any failure of the service resulting from extreme or unforeseen circumstances. In the event of some extreme or unforeseen circumstance which prevents us delivering the service for an extended period, but preserves the nation's banking and communications systems, we would endeavour to refund subscriptions for any 'whole terms' not supplied.
  4. Apart from force majeure (above) refunds are not available, though we will work with LEAs and schools to try and make sure no establishment pays for the service twice!
  5. We reserve the right to change/amend/develop the service in the light of comments received, and in line with our own development/expansion plans.
  6. We reserve the right to terminate any subscription if we have reasons to believe it is being abused, or if, in our view, continuing it would endanger the service as a whole.
  7. Subscriptions to MODLANGS.CO.UK are continuous, and must be cancelled or renewed. Subscription renewal notices will be sent to the billing contact when they are due. In the event of non-payment within a reasonable time, a reminder/duplicate will be sent to the service contact. If the situation remains unresolved, we will normally make one more attempt to communicate with the subscribing establishment. If any payment for services supplied remains outstanding for 30 days after the above attempts to establish contact, we reserve the right to
    1. include the establishment in our bad debtors' list, and...
    2. make an extra charge if/when the establishment applies to re-subscribe, or to purchase any other product we supply.
  8. Use of any 'subscribers only' part of the site after renewal falls due will be interpreted by us as a clear commitment to renew a subscription, and not to cancel it.
  9. We reserve the right to amend these terms and conditions if necessary. An up to date copy will be kept on the web site.
  10. If any part of these terms of conditions is found to be invalid or unworkable, that part shall be deemed omitted, and the rest shall stand.


Additional terms and conditions for non-UK subscribers:

  1. Non-UK orders: Non-UK customers can choose to pay in GB pounds sterling, or in their own currency. Those paying in their own currency should first add £6 to the appropriate rate (to cover our extra bank charges) and then convert the amount to their own currency using the currency converter at http://www.xe.com/ucc/ .

    We accept cheques with order, or official school/college purchase orders.
  1. Non-UK customers should supply a contact email address, so we can deliver their ID / password / documentation via email, and an admin/finance contact email address, for invoices / receipts / invoice queries.
  2. All terms and conditions other than 17 & 18 apply to UK and non-UK customers.
